Choosing your legal vehicle
The Sociedade por Quotas (Lda) suits most foreign investors: two or more shareholders, flexible capital and straightforward governance. A single-shareholder Lda is possible, while a Sociedade Anónima (SA) suits larger ventures needing share transferability and a board structure.
Documents from your side
Shareholder identity documents, proof of address, parent company registry extracts and powers of attorney must be apostilled or consularised and sworn-translated into Portuguese. Preparing these in parallel with name reservation saves weeks.
Frequently asked questions
Do I need to travel to Mozambique to register?
Not usually. A properly drafted power of attorney allows local counsel to sign on your behalf, although bank account opening may still require a director in person.
Is there a minimum share capital?
There is no meaningful statutory minimum for an Lda, but capital should be realistic against your licensing and visa plans, as authorities do consider it.
